These Kulipa Terms and Conditions (“Terms”) are a legally binding agreement between Kulipa, a French simplified joint stock company (société par actions simplifiée) registered before the Trade and Company Register of Paris under number 981 570 088 (“Kulipa” or “we”, “us”) and you as a natural individual (“you”) with respect to your access and use of online cryptocurrency related services based on blockchain and smart contracts (as further described below) that we provide to you (“Services”).
To access and use the Services, you must first read and agree to these Terms.
- Definitions
“Card” means the Mastercard payment card issued to you in accordance with the Terms linked to the Stablecoin balance of your Wallet for the purpose of making Fiat Currencies payment transaction (online or physical) and/or cash withdrawal.
“Contents” mean all elements relating to the Services (including any content, information, design, logos, text, graphics, images, icons, data, software, database, algorithms, scrips, trademark, domain name, etc.) used to operate the Services.
“Fiat Currency” means a government-issued money which is recognized as legal tender. Supported Fiat Currencies under the Terms are the currencies supported by Mastercard.
“Monavate” means the regulated entity, being either UAB Monavate if you are localized in the EEA or Monavate Limited if you are localized in the UK, licensed to issue payment cards and deliver payments services in relation to the Services.
“Monavate Limited” means the company registered under the laws of the United Kingdom under company registration 12472532 and authorized by the Financial Conduct Authority (under registration number 901097) to issue electronic money and provide payment services.
“Stablecoin” means a type of cryptocurrency designed to hold a stable value because it is backed by a Fiat Currency. Supported Stablecoin under the Terms is the USDC by Circle backed by USD.
“UAB Monavate” means the company registered in Lithuania under company registration number 305628001 and authorized by the Bank of Lithuania (under authorization code LB002139) to issue electronic money and provide payment services.
“Wallet” means a crypto wallet, software or hardware tool that allows you to store, manage, and transfer digital assets (such as stablecoins and cryptocurrencies), provided by a third-party wallet provider, as selected by you. Your Wallet may be connected to your Card to enable payment transactions funded by the digital assets you hold.
- Scope of the Services
Important: The Services we provide on our own behalf are not regulated financial services and may involve a risk of financial losses incurred by you. You should make your own assessment or seek any external assistance, notably as to the risks and limitations inherent to cryptocurrency related services, prior to purchasing, holding or in any way dealing with cryptocurrencies and related products.
The Services include:
- the supply of Cards on behalf of Monavate and the management of the Card program on behalf of Monavate as per the cardholder terms available here (“Monavate Cardholder Terms”) which are integrated into the Terms by reference;
- the technical services to provide end-to-end solution based on blockchain and smart contracts to allow you to use your Wallet to make payment using your Card.
The Services we provide to you do not include any wallet services, storage of your Stablecoins or of any converted Fiat Currencies performed by us nor do they allow the sale, purchase or trade of your Stablecoins. You or your Wallet provider remain solely responsible for the custody, security, and use of your Wallet and any Stablecoins therein.
The Card is maintained and operated by Monavate under its own liability and subject to the Monavate Cardholder Terms. We hold no liability for the provision of such regulated payment services.
- Applicability of the Term
By accepting the Terms, you acknowledge be bound by the Terms together with the Monavate Cardholder Terms, they will be effective for the entire duration of your use of the Services.
If you no longer wish to agree to the Terms, you may cancel your Card and terminate this agreement.
- Access to the Services
- Pre-requisites. Access to the Services is dependent upon you having, at your own expense, an Internet connection, and a supported Wallet with any sufficient Stablecoins balance to activate and use the Card for payment transactions, as well as complete our registration and identity verification process (“Registration Process”). Access and use of the Services are subject to your acceptance and compliance with these Terms and the Monavate Cardholder Terms. Delivery of a Card, as well as transactions performed using the Services, may be subject to applicable fees charged by your Wallet provider.
- Eligibility. To complete the Registration Process, you must be a natural individual, who has reached the age of majority in your country of residence with the legal capacity to enter into a binding agreement and must not have been previously de-activated or blocked by us from accessing the Services due to a prior violation of these Terms. You must not be a resident of a country that is under U.S. government, United Kingdom, European Union (including its Member States) or United Nations embargo nor being or have your financial institution being subject to international financial sanction by US, United Kingdom, European Union (including its Member States) or United Nations regulations. Your registration will be final once you have successfully completed the onboarding process whereby you will be asked to provide all information and documents requested by us and/or our compliance service provider to verify your identity to comply with applicable laws relating to “know your customer” and anti-money laundering applicable to us and/or to Monavate. Your use of the Services and of the Card is strictly individual and personal. You may not transfer, lend or share your Card and credentials with anyone. We have the right to disable or restrict your access and/or use of the Services at any time if you fail to comply or breach the Terms and/or any applicable law.
- Identification and ongoing verification. We reserve the right from time to time to request any additional information (without limitation for security, customer due diligence and anti-money laundering purposes) and to perform such other checks as we may in our discretion deem appropriate to comply with applicable laws. You must cooperate by providing such information upon request and in a format acceptable to us. You authorize us to share any such information with Monavate, our compliance service provider or as required by any competent regulatory authority. You agree that we may make, directly or through any third party, any inquiries we consider necessary to validate the information you have provided to us during the Registration Process. We may also ask you at any time to confirm the accuracy of your information and/or provide additional supporting documents. You are responsible for ensuring that any information you have provided to us is kept up to date. If your personal information changes, you shall promptly notify us and update the personal information we hold about you
- Management of your access to the Services. You can, at any time, manage the use of the Services and your Card directly through your Wallet, including requesting deactivation of your Card. You are solely responsible for ensuring the security and confidentiality of your Wallet and any credentials used to access the Card or authorize transactions. If you suspect or become aware of any fraudulent use of your Card, you must notify us without undue delay and take immediate steps within your Wallet to secure your credentials.
- Territorial restriction. Services are available remotely from countries authorized by Mastercard (“Territory”) for payment transactions based on any supported Stablecoins for payment into any supported Fiat Currency. No Services is available outside the Territory.
- Card ordering, delivery and activation. To order a Card, you need to have successfully completed the Registration Process, as described under section 4.2 above. You are responsible for your Card and for providing complete and accurate information and documents within the time period set by us.
Your Card order will be processed subject to the following cumulative conditions being met: the Registration Process and follow-up, if any, is completed, you have accepted the Monavate Cardholder Terms, you have paid to your Wallet provider the relevant fees associated with the issuance of the Card. We reserve the right to reject any Card order, or revoke approval for any order if we determine that you do not meet the eligibility criteria pursuant to the Terms and/or the Monavate Cardholder Terms or for any other reason in our sole and absolute discretion.
Upon approval of your Card order, you will be informed of the estimated Card delivery to the address you have specified. The time delivery is non-binding and may be subject to delay in which case you will be informed as reasonably practicable.
Once delivered, your Card must be activated directly through your Wallet application (as per the instructions available within the Wallet) before it can be used.
- Conversion of Stablecoins into Fiat Currency. Any conversion between a Stablecoin and a Fiat Currency necessary for the provision of Services, will be made on a 1:1 basis from USDC to USD and then from USD to the Fiat Currency applicable to the payment transaction (if different) in accordance with the Mastercard FX rates and prices applicable at the actual time of conversion.
- Use of the Services
- Right of use. Subject to your compliance with the Terms, we grant you, for the duration of the use of the Services, a personal, non-exclusive, non-transferable and non-sublicensable license to access and use the Services for personal use in relation to in-between processing of payment transactions.
- Restriction of rights. You are only authorized to use the Services in accordance with the Terms, we reserve all rights not expressly granted. You must not (a) copy, make available and/or distribute in whole or in part in any way whatsoever the Services to third parties; (b) assign, sell, lease, lend, sub-license, distribute, outsource or transfer the rights that have been granted under the Terms; (c) adapt, modify, including for correction purposes, or translate the Services and underlying technologies; (d) disassemble, decompile perform reverse engineering, or otherwise attempt to discover or reconstitute the source code of any software program we use to provide the Services, except as specifically authorized by applicable law; (e) alter, destroy or delete notices relating to intellectual property rights or any other reference to our ownership appearing on the Services; (f) distribute all or part of a software created in whole or in part with our Services.
- Restriction of use. You must not (a) use the Services for purposes that are illegal or prohibited by the Terms or by applicable law; (b) use a third party's Card to access the Services; (c) attempt to circumvent any security measure implemented to limit or restrict access to areas or features of the Services; (d) upload viruses or other malicious code, or otherwise compromise the security of the Services; (e) use a robot or other computerized means or interface to access the Services or extract data; (f) use or develop third-party applications that interact with the Services or other users' content or data; (g) use the Services in a manner that could damage, disable, overburden, or impair the Services or that could interfere with the proper operation of the Services.
- Security and authorization of transaction. Any transaction with your Card is subject to your prior approval via your Wallet and the security credentials controlled by you to interact with your Wallet to sign the transaction on the blockchain. Prior to approving a transaction, you must check all details of the transaction and if you are unsure, do not proceed. You acknowledge being aware that the nature of crypto assets such as Stablecoins and blockchain transactions are irreversible and that accidental or fraudulent transaction in relation to Stablecoins may not be recoverable. You are solely responsible for your use of your Wallet and for securing your associated security credentials We are not responsible and disclaim all liability for any loss or damage you may suffer as a result of you signing an improper transaction.
- Availability of the Services
We will try our best to ensure the accessibility and availability of the Services, provided that you comply with the Terms. However, we cannot guarantee that the Services will be uninterrupted, error-free or free from malware or other harmful components.
We reserve the right to suspend or restrict access to the Services, in particular in order to perform any maintenance, to comply with legal requirements or in application of the Terms.
Despite our efforts, please note that interruptions or suspensions may occur at any time due to the inherent limitations of the Internet, the blockchain protocol or any other technology used to operate the Services.
- Intellectual property
We and our licensors are and will remain owners of all the material and intellectual property rights attached to the Services, including the Contents. The Terms do not grant you any rights, whatsoever, except a limited license. You undertake not to infringe directly or indirectly our property rights or those of our licensors.
- Disclaimer
The Services are provided on an “as is” and “as available” basis, and without any warranty of any kind from us. Subject to applicable law, we expressly disclaim any and all warranty or conditions. You expressly agree to bear all risks inherent to the access to and use of the Services.
In using the Services, you may have access to or use services provided by third party, including Wallet, links to web pages and services of such parties. (“Third-Party Content”). Third-Party Content is outside the scope of these Terms, we do not control, endorse or adopt any Third-Party Content and will have no responsibility for such Third-Party Content. Any interaction with Third-Party Content is at your own risk and you must comply with any applicable terms and conditions governing such Third-Party Content.
We disclaim any liability for any loss or damage you may incur arising from errors or omissions in any information or instructions provided by you or on your behalf in connection with the Services, or from any actions taken by us under your direction.
We have no liability for the operation on the blockchain pursuant to the Terms and provide no warranty as to the execution of the transactions sent to the blockchain.
Tax treatment of crypto assets and of the Stablecoins may vary amongst jurisdictions. It is your sole responsibility to comply with the tax laws which are applicable to you and to seek relevant external legal advice if needed.
- Liability
- Our liability. Our liability may not be sought for any indirect damages, including without limitation, loss of income, profits, opportunity, data, goodwill or reputation resulting from the use of the Services.
We are only bound to provide our best efforts with regard to the provision of Services. Subject to applicable law, our liability for direct damages resulting from our failure to perform the Services in accordance with the Terms shall not exceed in aggregate two hundred (200) euros.
- Your liability. You may be liable towards us for any breach of the Terms. You are responsible for your use of the Services. It is your responsibility to take all appropriate steps to protect your equipment and the information stored on your equipment, including maintaining the security of your Wallet and login credentials.
- Termination
- Termination for convenience. You may terminate the Terms at any time and for any reason, by requesting through the Wallet the deactivation and deletion of your Card in which case Services will no longer be available to you. We may stop providing the Services and terminate the Terms subject to fifteen (15) days prior notice, at any time and for any reason; upon termination your access to the Services will be deleted and use of the Services will cease. We may also deactivate your access to the Services, subject to fifteen (15) days prior notice, if you are inactive, i.e. if we do not observe any activity on your Card for a period of two (2) years. Termination of your use of the Service s will not terminate your agreement in force with the Wallet and/or the Monavate Cardholder Terms for which you must follow the relevant termination steps.
- Termination for cause. We reserve the right to terminate these Terms and suspend or restrict your access to the Services and/or your ability to use the Card at any time if you fail to comply with the Terms or if required by applicable law. Termination will occur without prior notice (in case of urgency or pursuant to applicable law) or otherwise upon fifteen (15) days prior notice to cure the breach. Termination is without prejudice to other rights or remedies we may have.
- Consequences of termination. Upon termination of these Terms, your access to the Services will be deactivated and your right to access and use the Services will cease. Your data will be deleted from our server, unless provided otherwise, without prejudice to the public information available on the blockchain. The provisions of the Terms that are meant to remain into effect shall survive termination.
- Applicable law and jurisdiction
The Terms are governed by French law.
Any dispute between you and us related to the Services must first try to be sorted out amicably, to that end please contact us at hello@kulipa.xyz and provide us contact details as well as any information to allow us to appreciate your claim.
Besides, if you are residing in the European Union, you may also contact the online dispute resolution service of the European Commission at the following address: ec.europa.eu/consumers/odr.
If we cannot find a common ground, you may refer the dispute to the competent court within the jurisdiction of the French court of Appeal of Paris, unless other court is competent in accordance with overriding mandatory provisions applicable in your country of residence.
The Terms do not affect any mandatory or statutory rights you may have as a consumer in your country of residence.
Any claim in relation to the Card and the payment services provided by Monavate can be notified to Monavate directly (according to the complaint process set out under the Monavate Cardholder Terms), with a copy addressed to us.
- Miscellaneous
Any failure from us to enforce our rights under the Terms shall not be deemed to be a waiver.
We reserve the right to assign or to transfer our rights and obligations under the Terms to any third party; upon transfer we will be released from our obligations and liabilities.
We reserve the right to delegate all or part of our obligations to any third-party service providers appointed at our discretion.
We are not responsible for delays or failure to perform our obligations resulting from a force majeure as defined by applicable law, including without limitation any governmental decision of any kind, a total or partial strike whether internal or external to the company, a fire, a natural disaster, an act of terrorism, a pandemic, a state of war, a total or partial interruption or a blockage of the telecommunication or electricity networks, cyberattacks.
If any provision of the Terms is determined to be void, inapplicable or unenforceable by virtue of law or by any final court ruling, the remainder of the Terms will be in full force and effect.
You expressly acknowledge and agree, as a convention of proof, that the information collected by us concerning the use of the Services will constitute valid evidence and will be admissible and enforceable between you and us.
The Terms, together with our privacy policy set the entire agreement between you and us in relation to the Services we provide, they supersede and replace any prior agreement.
